Terms of Service

Effective Date: 16 August 2025

These Terms of Service (“Terms”) are a legally binding agreement between you and Hacktron AI Inc. (“Hacktron,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, software, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you must not access or use the Services.

By using the Services, you represent and warrant that:

  • you have legal capacity to agree to these Terms;
  • you are at least 18 years old;
  • you will comply with applicable laws; and
  • you will not use the Services for unlawful, unauthorized, or prohibited purposes.

The Services are not designed for use in regulated environments requiring compliance with frameworks such as HIPAA, FISMA, GLBA, or similar sector-specific requirements unless we expressly agree otherwise in writing.

Accounts and Billing

You may need to create an account to access some portions of the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

If you purchase paid services, you agree to provide current, complete, and accurate billing information and to keep it updated.

  • prices may change at any time;
  • charges may include taxes where required;
  • recurring charges continue until cancelled;
  • accepted payment methods may include Stripe and other processors we make available.

Unless otherwise stated in a separate order form or subscription agreement, fees are non-refundable except as required by law. We may correct pricing or billing errors and may refuse or cancel an order where permitted by law.

Acceptable Use

You agree not to:

  • access or use the Services through unauthorized automated means (for example, bots, scrapers, or crawlers);
  • interfere with the Services’ security, integrity, or availability;
  • upload malicious code or harmful content;
  • attempt unauthorized access to systems, accounts, or data;
  • copy, reverse engineer, decompile, or exploit the Services except to the extent such restriction is prohibited by law;
  • use the Services to harass, defraud, or harm others;
  • use the Services in connection with competing commercial exploitation not approved by us.

We may investigate suspected misuse and may suspend or restrict access to protect the Services, our users, or third parties.

Intellectual Property

Unless otherwise stated, the Services, including related software, models, content, design elements, trademarks, and documentation, are owned by or licensed to Hacktron and are protected by intellectual property and other applicable laws.

Subject to these Terms, Hacktron grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal lawful business purposes.

User Content and Feedback

If you submit content, suggestions, or feedback:

  • you represent you have all rights needed to submit it;
  • you remain responsible for your submissions;
  • you grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display such submissions only as needed to provide, secure, support, and improve the Services;
  • feedback may be used by us without compensation to you.

We may remove content that violates these Terms or applicable law.

Connected Repositories and Customer Code

If you connect a source-code repository (for example, GitHub or GitLab), you authorize us to access, process, and analyze repository content as needed to provide security scanning and related service features.

You represent that:

  • you own the code or otherwise have authority to grant us this access and processing right;
  • connecting the repository and using our Services does not violate applicable law, contracts, or third-party rights.

As between you and Hacktron, you retain ownership of your code. You grant Hacktron a limited, non-exclusive, worldwide, royalty-free license to access, copy, process, and store your code only to:

  • operate and provide the Services;
  • generate findings, reports, and remediation guidance;
  • maintain service security, reliability, and abuse prevention; and
  • comply with legal obligations.

Any temporary copies, logs, or derived security outputs may be retained and deleted in accordance with our Privacy Policy and operational retention practices.

Third-Party Services

The Services may link to or integrate with third-party websites, repositories, payment processors, identity providers, or other services. We are not responsible for third-party content, services, availability, or practices. Your use of third-party services is governed by the applicable third-party terms and policies.

Confidentiality and Security

We implement reasonable administrative, technical, and organizational safeguards designed to protect the Services and data processed through them. No system is completely secure, and you acknowledge that internet-based services may be subject to outages, interruptions, delays, and security incidents.

You are responsible for using appropriate security controls on your own systems, credentials, repositories, and connected environments.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. HACKTRON DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, secure, error-free, or suitable for every use case, or that any findings, recommendations, or outputs will be complete or sufficient to eliminate all security risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACKTRON AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HACKTRON’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO HACKTRON FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

Indemnification

You agree to defend, indemnify, and hold harmless Hacktron and its affiliates, officers, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your infringement of third-party rights.

Suspension and Termination

We may suspend, limit, or terminate your access to the Services, in whole or in part, if we reasonably believe you violated these Terms, created legal or security risk, failed to pay fees when due, or if continuation of the Services is no longer commercially practicable.

You may stop using the Services at any time. Any provisions that by their nature should survive termination will survive, including provisions concerning fees owed, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

Changes to the Services or Terms

We may modify, suspend, or discontinue all or part of the Services at any time. We may also update these Terms from time to time. When we make material changes, we will post the revised Terms on this page and update the effective date above. Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules.

Before filing a formal claim, both parties agree to attempt good-faith informal resolution for at least 30 days after written notice.

If a dispute is not resolved informally, it will be resolved by binding arbitration, except where applicable law requires otherwise or for claims seeking injunctive relief related to intellectual property or unauthorized access.

To the extent permitted by law:

  • disputes must be brought on an individual basis;
  • class actions and class arbitrations are not permitted.

If arbitration is unavailable for a particular claim, that claim will be heard exclusively in state or federal courts located in Delaware, and each party consents to personal jurisdiction there.

Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision is not a waiver. These Terms do not create any agency, partnership, or joint venture relationship. We may assign our rights and obligations under these Terms as permitted by law. You may not assign these Terms without our prior written consent.
